Preheat oven to 350°. Grease and flour 9x13x2-inch pan. In large bowl, combine all ingredients and mix well. Bake 25-30 minutes and frost while warm.
Frosting:
In small saucepan, combine first 3 ingredients. Cook until it comes to a boil, stirring constantly. Stir 1 minute longer. Remove from heat. Add chips. Stir until smooth.
